Non-Disclosure Agreement (NDA) and Copyright Ownership

1. Non-Disclosure Agreement (NDA)

   • We are committed to safeguarding your confidential information. If necessary, we can arrange a Non-Disclosure Agreement (NDA). Please contact us to discuss your specific needs.

2. Copyright Ownership

   • We want you to retain complete ownership of your designs. Upon project completion and full payment, all copyrights and intellectual property rights related to the design work will be transferred to you, the client. You will have exclusive ownership and control over the designs, and we will not retain any rights or claim to the work.

Terms and Conditions

1. Service Description

   • By availing Gaiaa Designs' On-Demand Graphic Design Services, you acknowledge and agree to the following terms and conditions. The service includes a monthly subscription that covers a range of graphic design tasks as detailed in the service description.

2. Payment Terms

   • New Clients: If you're new, you'll be required to make a 50% deposit of the monthly fee upfront upon initiating the service. Subsequent monthly payments are due in full at the end of each month of service.

   • Termination of Service: If payment is not made within [mention the number of days, e.g., 30 days] of the due date, we may need to terminate your subscription and pause design services until outstanding payments are settled. (Legal Action will be taken)

   • Refunds: We don't provide refunds for the deposit or any part of the monthly fee. However, if you decide to cancel your subscription before the end of the month, you won't be billed for the following month.

3. Revision Policy

   • We are pleased to offer one complimentary revision for each design project as part of your subscription. The scope of the revision includes adjustments to layout, colors, fonts, and minor design details. Further revisions or significant design changes may incur additional fees, which we can discuss on a case-by-case basis.

4. Project Limit and Additional Fee Policy

   • We have a maximum capacity of 25 big projects per month to ensure quality and timeliness. If you require more than 25 big projects in a given month, an additional fee of $50 will be charged for each project that exceeds this limit. Your consent will be sought before proceeding with additional projects.

5. Liability and Dispute Resolution

   • While we strive to deliver high-quality design services, Gaiaa Designs shall not be held liable for any direct or indirect damages, loss of profits, or other consequential losses resulting from the use or inability to use our services. In case of any disputes or concerns regarding our services, we encourage open and constructive communication to reach an amicable resolution.

6. Termination of Service

   • Either party may terminate the service with a written notice 30 days in advance.

7. Governing Law

   • These terms and conditions shall be governed by and construed in accordance with the laws of England, with the exclusive jurisdiction of the courts of England and Wales.

8. Modification of Terms

   • We reserve the right to change these terms and conditions as needed. We will notify you of any changes in advance.

9. Delivery Timeframe

   • Gaiaa Designs is committed to managing one design request at a time to ensure focused attention and optimal quality. Each design project will be delivered within 24 hours or less, depending on the complexity of the task. This streamlined process aims to provide clients with efficient and timely graphic design services.

10. Force Majeure:

    • Gaiaa Designs and the client shall not be liable for any failure or delay in the performance of their respective obligations under these terms and conditions if such failure or delay is due to circumstances beyond their reasonable control, including, but not limited to, acts of nature, war, terrorism, governmental actions, pandemics, natural disasters, or any other force majeure event. In the event of a force majeure event, the affected party shall promptly notify the other party and make reasonable efforts to resume performance as soon as possible. If the force majeure event continues for an extended period, either party may choose to terminate the agreement without liability.

11. Communication Channels:

    • To facilitate effective project-related discussions, Gaiaa Designs encourages communication through preferred channels. Business communication is primarily conducted on Slack, Discord, and Gmail, with the specific platform chosen based on the client's preference. These channels offer a seamless and organized means of collaboration, ensuring clear and efficient communication throughout the design process.

12. Client Responsibilities:

    • The client acknowledges and agrees to fulfill the following responsibilities to facilitate the successful completion of design projects:

      • Provide all necessary information, materials, and details required for the design work in a timely manner.

      • Offer constructive feedback within a reasonable timeframe to ensure efficient progress.

      • Cooperate and communicate openly with Gaiaa Designs to address any queries or concerns promptly.

      • Adhere to agreed-upon project timelines and milestones.

      • Take necessary actions as requested by Gaiaa Designs to support the design process.

    The client understands that failure to fulfill these responsibilities may impact the quality and timely delivery of design services. Gaiaa Designs relies on the client's collaboration to ensure a smooth and successful design process.
